Job Description:

Position Overview:  Our client, a reputable law firm, is seeking a Corporate Paralegal who will assist in all stages of corporate transactions and the preparation of documents necessary to comply with federal, state and local regulations. 

  • Assists attorneys in preparing integral corporate documents/materials.
  • Works with attorneys in preparing all documents required to form corporations (business and not-for profit), partnerships and limited liability companies, including amendments, withdrawals, mergers, dissolutions, completion of stock certificates, completion and in-person filings of franchise tax forms for attorney review, and creating/maintaining corporate minute books.
  • Works directly with attorneys and clients during closings and corporate transactions.  Provides assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions and initial public offerings.
  • Works directly with the attorneys to prepare SEC filings with regard to securities offerings and respond to the requirements of the Securities Acts of 1933 & 1934 filings.
  • Prepares/conducts UCC filings/searches in all states.
  • Assists with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies.

Qualifications:

Minimum Qualifications:  Bachelor’s Degree preferred.  Paralegal Certificate preferred.   Excellent interpersonal skills; meticulous attention to detail; strong communication skills; exceptional organizational skills; ability to prioritize work and anticipate needs; service-oriented attitude; and the explicit ability to maintain strict confidentiality. Must be Notary Public. Requires regular and predictable attendance during assigned work schedule.
